By creating an account, accessing any feature, or otherwise using the platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and accept these Terms of Use in full. If you are using the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

Vergoski provides an online platform delivering smart AI-assisted budgeting and forecasting tools, group-based financial planning sessions, collaborative workspaces, and professional facilitation services. Services are delivered remotely and are accessible worldwide, subject to applicable restrictions.

We reserve the right to modify, suspend, or discontinue any part of the services at any time with reasonable notice where practicable.

5.1 Fees

Subscriptions are billed on a recurring basis according to the plan you select. You authorise us to charge your chosen payment method at the start of each billing period.

5.3 Refunds

Unless required by applicable law or expressly stated in a separate agreement, fees paid are non-refundable. We may at our discretion issue credits or partial refunds in exceptional circumstances.

All content, software, AI models, designs, trademarks, and materials made available through the platform are the exclusive property of Vergoski or its licensors. Nothing in these terms transfers any intellectual property rights to you.

You retain ownership of any data, text, financial information, or other content you submit to the platform ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, worldwide licence to process, store, and display that content solely for the purpose of providing the services to you.

Any suggestions, ideas, or feedback you provide regarding the platform may be used by us without restriction or compensation to you.

7. AI-Generated Outputs

The platform uses artificial intelligence to generate budgeting forecasts, financial projections, and recommendations. These outputs are provided for informational and planning purposes only and do not constitute financial, investment, legal, or professional advice. You are solely responsible for decisions made based on AI-generated content. We make no warranty that any forecast or projection will be accurate or achieved.

8. Group Sessions and Collaborative Features

The platform facilitates group interaction among participants. You agree to engage respectfully and professionally within group sessions. We reserve the right to remove any participant who engages in disruptive, abusive, or inappropriate behaviour without refund.

Content shared within group sessions may be visible to other participants. Do not share confidential or sensitive information unless you are comfortable with its disclosure to the group.

9. Privacy and Data

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these terms by reference. By using the services, you consent to the collection, processing, and use of your data as described in that policy.

The platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, Vergoski and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the services, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these terms or your use of the services shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vergoski and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the services, your User Content, your violation of these terms, or your violation of any third-party rights.

14. Termination

14.1 By You

You may terminate your account at any time by contacting us at [email protected] or through your account settings. Termination does not entitle you to a refund of prepaid fees.

14.2 By Us

We may suspend or terminate your access to the services immediately and without prior notice if you breach these terms, engage in fraudulent activity, or if required by law. Upon termination, your right to access the platform ceases immediately.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and any other provisions that by their nature should survive, will continue in effect after termination.

17.3 Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
